Peavey Electronics sued Baan U.S.A. for defective software and software support. The trial court sided with Baan, stating that Peavey's claims were barred by statute of limitations and waiver by a subsequent contract. Peavey appealed, arguing that the trial court made errors in dismissing their claims and tolling the statute of limitations. The trial court erred in dismissing Peavey's tort claims without sufficient notice, but the court must consider the alternative grounds raised in Baan's motion. Peavey also failed to provide reasonable and timely notice of breach, which is required under the Uniform Commercial Code adopted by Mississippi. The denial of discovery was considered harmless.
