Suggest measures to improve corporate governance standard
Role of companies in improving transparency and maintaining
integrity of Market.
Company met three times first on 7th December 2002, 7 January
2003, 8 February 2003 to discuss the issues related to corporate
governance and issue various recommendations to SEBI.
#recommendation • Board of director shall have optimum combination of
Executive and non executive directors. At least 50% of
the board of director should be non executive
directors.
•Number of Independent director depends on chairman
is executive of NXD.
• if he is NXE chairman Then :- at least one third of
board consist of independent directors
