Hear from DAO legal expert Matthew Kaufman of Wyoming law firm Hathaway & Kunz, LLP. Matt was instrumental in his work related to Wyoming’s first-in-the nation cryptocurrency framework, as discussed on TRM Talks Wyoming, and the state’s DAO law.
In April 2021, Wyoming Gov. Mark Gordon signed the state’s DAO-focused Bill 38 into law, allowing Wyoming to recognize DAOs as limited liability corporations (LLCs). The law went into effect in July 2021. LLCs are hybrid entities that combine the characteristics of a corporation with those of a partnership or sole proprietorship.
As explained to Coindesk by TRM Talks alum, Wyoming Sen. Chris Rothfuss, the bill makes the process of a DAO becoming an LLC easier and cheaper. “A lot of our work in Wyoming on blockchain and fintech governance has been focused on providing legal clarity where ambiguity exists before the court needs to decisively weigh in.”

About the speakers:
Matthew Kaufman is a partner with Hathaway & Kunz, where his legal practice focuses on business, corporate, technology, capital formation, intellectual property protection, mergers and acquisitions. In addition to graduating from the University of Wyoming with a B.A. and J.D., Matt also has a graduate law degree (LLM) from the University of Colorado. Matt is deeply involved in local and regional entrepreneurship. He co-founded the Wyoming Entrepreneurs group that meets in Cheyenne, has a published academic article on developing entrepreneurship in Wyoming, and has also published various articles on topics such as crowd funding and the new blockchain/cryptocurrency industry. Matt is counsel to dozens of start-ups, emerging technology companies, and investment funds across Wyoming, is an active tech and real estate investor, and has been a guest speaker on topics such as capital raising, securities, blockchain, and legal issues surrounding start-ups in Wyoming. Matt was also formerly a co-founder and three year Chairman of the Array School of Technology and Design, Wyoming’s first private coding school, before exiting through a sale of the company in 2018. Matt’s newest venture is becoming a partner with BXE Capital, a cryptocurrency investment fund, based in Denver, Colorado.
Ari Redbord is Head of Legal and Government Affairs at TRM Labs. Prior to joining, he served as a Senior Advisor to the Deputy Secretary and the Under Secretary for Terrorism and Financial Intelligence at the United States Department of Treasury. In this capacity, he worked with teams from the Financial Crimes Enforcement Network (FinCEN), Office of Foreign Assets Control (OFAC), and other Treasury and interagency components on issues related to sanctions, the Bank Secrecy Act, cryptocurrency and anti-money laundering strategies. Previously, Mr. Redbord served as a Senior Assistant United States Attorney for the District of Columbia, where he investigated and prosecuted cases related to cryptocurrency, terrorist financing, sanctions evasion, export control, child exploitation and human trafficking.
