BOI Report Exemption For Large Operating Companies
Generally, entities such as LLCs or corporations will need to file beneficial ownership information (BOI) reports with FinCEN beginning in 2024. But there are twenty-three categories of entities that will be exempted from filing. An entity that is exempted from filing a BOI report if it is a large operating company. This is defined as an entity which employs more than 20 full-time employees in the United States, filed a U.S. federal income tax return in the previous year reporting more than $5,000,000 in U.S.-source gross receipts, and has an operating presence at a physical office within the United States. If an entity can meet all of these requirements, it may not need to file a BOI report. If an entity does not initially meet this exemption, but does so after filing an initial BOI report, it can then report to FinCEN that is a “new exempt entity.”
