1.) Value
Is this a cemented purchase price or a moving target “multiple range” that can be chipped away at in diligence?
2.) Structure
How much is wired at closing, how much is a maybe over time?
Cash vs. Seller Note vs Earnout vs Rollover. Which parts are guaranteed, which parts are fantasy?
3.) Transition
Are you selling a business or signing up for a job with a purchase price attached?
How long are you expected to stay, in what role, and how does that taper down so it actually ends?
4.) Stakeholders
What happens to your people?
Who do they keep for sure, who is “optional,” and are you ok with that?
