Описание: Pinnel’s Case (Cole v Pinnel) (1602) is a foundational English contract law case that established the rule that **part payment of a debt is not sufficient consideration to discharge the whole debt**. In this case, Cole owed Pinnel a sum of money that was due on a specific date. Before the due date, Cole paid a smaller amount than he owed, and Pinnel accepted it in full satisfaction of the debt. Later, Pinnel sued Cole for the remaining balance. Cole argued that since Pinnel had agreed to accept the smaller sum as full payment, he should not be required to pay anything more.

The court rejected this argument and held that payment of a lesser sum on the due date cannot legally satisfy a greater debt. This is because the debtor is already under a legal obligation to pay the full amount, so paying less provides no new consideration for the creditor’s promise to forgive the balance. However, the court also recognized important exceptions. It stated that part payment *may be valid consideration* if it is accompanied by something extra, such as payment made earlier than required, payment at a different place, payment in a different form (for example, goods instead of money), or the inclusion of an additional benefit. In such situations, the creditor gains something new, which can support a binding agreement.

The legal principle established is that **a creditor’s promise to accept less than the full debt is not enforceable unless fresh consideration is provided**. This rule aims to prevent debtors from avoiding their full obligations without offering anything in return.

A daily life example is where someone owes a shopkeeper $500 and offers to pay $400 on the due date, and the shopkeeper agrees to accept it as full payment. Under *Pinnel’s Case*, the shopkeeper can later demand the remaining $100. However, if the debtor pays $400 a month early or adds a valuable item, such as a phone accessory, the agreement may be binding because extra consideration has been given.
