Whatever Happened with the Corporate Transparency Act? | Torchlight Tax
As of August 16, 2025, U.S. companies no longer need to file Beneficial Ownership Information (BOI) reports under the Corporate Transparency Act. In March 2025, FinCEN (Financial Crimes Enforcement Network) issued an interim final rule exempting domestic corporations, LLCs, and similar entities from BOI filing requirements.
Here’s the breakdown:
✅ No BOI filing required for U.S.-formed corporations, LLCs, or similar entities.
✅ Only foreign-formed companies registered in the U.S. must still file.
✅ A final rule is expected later this year, but under current deregulation policy, broad domestic filing is unlikely to return soon.
✅ The Corporate Transparency Act is effectively dead for U.S. entities (for now)—but could come back in the future depending on changes in administration, Congress, or the courts.
