About the lecture: Corporate acquisitions are often characterized by "information asymmetry." Put simply, sellers have more information about companies being sold than potential buyers. This lack of information can reduce prices that buyers are willing to pay or prevent transactions entirely. In this context, corporate lawyers play an important role in solving the informational problems that can otherwise result in market failure. Through a combination of research, negotiation, and contractual drafting, corporate lawyers help buyers and sellers strike mutually beneficial bargains.
In this talk, Professor Hutchison will draw on real-world examples to explain the concept of information asymmetry, showing that much of transactional practice involves solving problems of imperfect information.
About the speaker: Camden Hutchison is an Associate Professor at the Peter A. Allard School of Law and the Director of the Centre for Business Law. His research and teaching focus on corporate transactions, comparative corporate governance, and the historical development of corporate law. He has also published on corporate taxation and competition law. His current research focuses on directors' duties and shareholders' rights in international context.
