Legally speaking, mergers are very different from acquisitions. To begin with, one of the companies in a merger (the transferor) will cease to exist. In an acquisition, both companies involved will continue to retain their separate legal identities. Second, a merger will require the blessing of the NCLT, amongst other stakeholders.
In this video, we discuss how mergers are regulated and using the Vodafone Idea case study, we take a look at how mergers are structured in practice.
