The OpenAI Board Crisis: The Board Lost Control

That is what the OpenAI board crisis revealed.

In November 2023, OpenAI’s board announced that it had removed CEO Sam Altman. The board had formal authority. The decision was real. But within days, the decision collapsed, employees aligned against the action, a major partner offered continuity elsewhere, and the board itself was substantially reconstituted.

This episode of Strategic Risk Lab is not about relitigating the OpenAI board crisis.

It is about the structural lesson underneath it:

Authority is not power.

Formal authority is the documented right to act.

Power is the ability to make the action hold once it is challenged.

In this episode, I apply the Governance Authority–Power Audit to the OpenAI board crisis and examine five dimensions:

The lesson is not that boards should avoid hard decisions. It is that any governing body needs to know whether the power behind its authority is actually there before the authority is tested.

This matters far beyond OpenAI.

Boards, AI oversight committees, model-risk groups, ethics review bodies, and executive decision forums are being asked to govern high-stakes technology decisions. Many of them have formal authority on paper. The question is whether they have the power to make that authority hold.
