Every day people enter and perform contracts without incident. However, life being life, things happen. Sometimes, through no fault of anyone’s and despite everyone’s best efforts, contractual performance is impossible. Young versus City of Chicopee illustrates how the law apportions contracting parties’ liabilities when their contract can’t be performed.

David Young and the City of Chicopee entered into a contract for the repair of a wooden bridge over the Connecticut River. The contract provided that Young would replace the bridge’s decayed wood sufficiently to restore it to an acceptable condition. The contract also provided that Chicopee would pay Young based on the amount of new material he used in the bridge repair.

To minimize the repair’s interference with public travel, the contract required that Young store at least half of the repair material on the job site. Accordingly, Young had placed lumber on the bridge and the riverbank.

Then, through no fault of either party, a fire destroyed the bridge, making it impossible for Young to complete the bridge repair. The fire also destroyed the unused lumber stored on the job site.

Accordingly, Young brought an action against the City to recover for the work and materials, including the destroyed lumber he had furnished pursuant to the contract. At trial, the City didn’t deny its obligation to pay for Young’s labor and the materials that were used to repair the bridge prior to the fire. However, the parties disagreed whether the City was liable for the lumber that had been destroyed by the fire while stored on site. The jury found for Young. The City appealed to the Supreme Judicial Court of Massachusetts.
